Section 16 Update
Please remember that
on June 30, 2003 the SEC required that all Section 16(a) reports (Forms 3, 4 or
5) be filed with the SEC electronically through EDGAR.
In addition, Registrants must display all Section 16 filings on their
corporate website or provide a link to a website that contains the filings.
Forms 3, 4 or 5
submissions will no longer be accepted by paper at the SEC documents control
desk. Any paper submissions of
16(a) forms will be returned to the sender by mail.
Because the document
format for Section 16 submissions is XML, your filing choices are limited to
using the SEC’s Online Forms website or a third-party filing product.
To be able to file on
the SEC Website all Officers, Directors and 10% owners of the Registrant’s
common stock must apply for EDGAR access codes.
Each individual or entity needs their own codes.
An
Edgar Code Order Form can be obtained by clicking this link and Securities
Law Institute will start the process of ordering your EDGAR Codes at no charge
to you. You can also call us at
(888) 546 6454 or (702) 866-5800 and we will fax or email you an Order Form.
Please note that it
may take several days to receive your codes.
Therefore, you should order your codes as soon as you know you will be a
Section 16 filer.
The filing of Section
16(a) forms are the responsibility of the individual or entity, not the
Registrant. Securities Law
Institute can assist you in your filings. In
the event you, as an Officer, Director or 10% owner should receive or dispose of
shares, you must file your reports within two days from the transaction.
